These Terms of Service govern your access to and use of Lunio.

By using Lunio, you agree to these terms.
1. Acceptance of Terms
By accessing or using Lunio, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the platform. These terms apply to all visitors, account holders, and anyone accessing the service on behalf of a business.
2. Description of Service
Lunio is a Canadian software-as-a-service platform that helps businesses create invoices, manage clients, track payments, organize business records, and estimate GST/HST, PST, and QST related information.
Lunio provides tools, calculations, templates, summaries, exports, and automation features for convenience and organizational purposes only. Lunio does not provide accounting, bookkeeping, financial, legal, or tax advice.
You are solely responsible for verifying tax rates, invoice accuracy, payment records, business compliance, tax filings, remittances, and compliance with all applicable federal, provincial, territorial, and local laws and regulations.
While Lunio aims to provide reliable calculations and platform availability, we do not guarantee the accuracy, completeness, availability, reliability, or uninterrupted operation of the service or any generated outputs.
Lunio may experience maintenance periods, outages, interruptions, delays, or temporary limitations from time to time.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and keep it up to date. You may not share accounts, resell access, or allow unauthorized users to access your account. Notify us promptly of any unauthorized access or security incident.
4. Acceptable Use
You agree not to use Lunio for any unlawful, abusive, fraudulent, deceptive, or harmful purpose, or in any way that could damage the platform, its users, or its infrastructure. This includes, without limitation:
- attempting to exploit vulnerabilities or bypass security controls;
- reverse engineering, decompiling, or attempting to access source code;
- using automated tools that degrade performance or disrupt service;
- accessing or attempting to access data that is not yours;
- misrepresenting yourself, your identity, or your business;
- sending fraudulent, misleading, abusive, or spam-related invoices;
- using Lunio for unlawful billing, tax evasion, or fraudulent financial activity; or
- interfering with the normal operation or security of the platform.
5. Payments & Billing (Stripe)
Paid subscriptions are processed through Stripe. By subscribing to a paid plan, you authorize recurring billing according to your selected plan and billing cycle. You are responsible for keeping your payment method current. Unless required by law or explicitly stated in writing, payments are non-refundable and there are no partial refunds for unused time. Pricing and plan features may change with notice and will apply at the next billing cycle.
If a payment fails, Lunio may retry the charge and may downgrade or suspend paid features until payment is successful. Access to paid features is tied to an active billing status.
6. Subscription & Termination
You may cancel your subscription at any time through your account. Cancellation stops future renewals and you retain access to paid features until the end of the current billing period. There are no partial or prorated refunds. Lunio may suspend or terminate accounts for violation of these terms, abuse, fraud, non-payment, or activity that poses a security or legal risk.
7. Data & Invoices
You retain ownership of your data and content. By using Lunio, you grant us a limited right to store, process, transmit, and display your data as necessary to operate, secure, improve, and provide the service.
You are responsible for the legality, accuracy, completeness, and compliance of the invoices, client information, payment records, tax rates, and business records you create or maintain using Lunio.
Lunio is not responsible for accounting errors, invoice inaccuracies, tax calculation issues, missed payments, reporting mistakes, failed remittances, compliance failures, or financial losses arising from your use of the service.
We may retain certain backup, logging, billing, analytics, fraud prevention, or security records for a reasonable period of time, including after account deletion where reasonably necessary for legal, operational, or security purposes.
8. Limitation of Liability
To the maximum extent permitted by law, Lunio is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, goodwill, or data. Lunio is not liable for financial loss, tax errors, missed payments, incorrect invoices, or business interruption arising from your use of the service. In all cases, our total liability for any claim will not exceed the amount paid to Lunio in the 12 months before the claim.
9. Disclaimer
The service is provided “as is” and “as available” without warranties of any kind, whether express or implied.
Lunio disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, availability, reliability, accuracy, and uninterrupted operation.
You acknowledge that use of the platform, calculations, exports, estimates, tax summaries, and generated documents is at your own risk.
10. Indemnification
You agree to indemnify and hold harmless Lunio, its affiliates, and team members from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, your content, or your violation of these terms.
11. Changes to Terms
We may update or modify these Terms of Service from time to time to reflect platform changes, legal requirements, operational updates, or security improvements.
If changes are material, we may provide notice through the platform, email, or other reasonable means. Continued use of Lunio after updated terms become effective constitutes acceptance of the revised terms.
12. Governing Law
These terms are governed by the laws of Canada and the laws of the Province of Newfoundland and Labrador, without regard to conflict of law principles.
